RULE REQUIRES CERTAIN REGISTERED INVESTMENT ADVISERS TO DELIVER OR OFF IN WRITING TO DELIVER TO CLIENTS, A WRITTEN DISCLOSURE STATEMENT CONTAINING SPECIFIED INFOMATION CONCERNING THE BACKGROUND AND BUSINESS PRACTICES OF THE ADVISER.
