REGULATION A PROVIDES A GENERAL EXEMPTION TO THE REGISTRATION PROVISIONS OF THE SECURITIES ACT OF 1933 WHICH MAY BE USED BY A VARIET OF ISSUERS TO RAISE UP TO $1.5 MILLION WORTH OF SECURITIES IN A TWELVE MONTH PERIOD.
