Abstract:
Rule 17a-8 exempts certain mergers involving a registerd investment company and an affiliated investment company or common or collective trust fund from the restrictions on affiliated purchases and sales in section 17(a) of the Investment Company Act. The rule requires each participating investment company's board of directors to make certain determinations concerning the transaction, includes two provisions governing shareholder voting and requires surviving investment companies to preserve written records describing the merger and its terms.
