Abstract:
Form N-CSR is a combined reporting form used by management investment companies to file certified shareholder reports under the Investment Company Act of 1940 (15 U.S.C. 80a-1 et seq.) ("Investment Company Act") and under the Securities Exchange Act of 1934 (15 U.S.C. 78a et seq.) (Securities Exchange Act"). Form N-CSR is to be used for reports under section 30(b)(2) of the Investment Company Act and section 13(a) or 15(d) of the Securities Exchange Act, filed pursuant to rule 30b2-1(a) under the Investment Company Act (17 CFR 270.30b2-1(a)).The information provided on Form N-CSR may be used by the Commission in its regulatory disclosure review, inspection, and policymaking roles. The information filed with the Commission also permits the verification of compliance with securities law requirements and assures the public availability and dissemination of the information. On May 3, 2023, the Commission adopted amendments to modernize and improve the disclosure requirements, including those pursuant to Form N-CSR, for repurchases of an issuer’s equity securities that are registered under the Securities Exchange Act.

Short Statement:
The final amendments as they relate to Form N-CSR require additional disclosure regarding the structure of the repurchases and repurchase programs of closed-end funds whose shares are listed on a national securities exchange (“listed closed-end funds”); require a new checkbox to indicate if certain of the listed closed-end fund’s officers or directors purchased or sold the fund’s equity securities within four business days of the announcement of a related issuer repurchase program; and require share repurchase information to be reported using a structured data language. Further, these amendments will require listed closed-end funds to provide more detailed disclosure than previously required by requiring daily details rather than aggregated monthly data. As a result of these proposed amendments, for purposes of the PRA, we estimate that, for Form N-CSR, the proposed amendments would result in an increase of 900 burden hours and $180,000 for the services of outside professionals.
