Section 965 of the Dodd-Frank Act required the Federal Deposit Insurance Corporation, the Department of Treasury, the National Credit Union Administration, the Securities and Exchange Commission, the Federal Housing Finance Agency, and the Federal Reserve Board (the Agencies) to jointly prescribe regulations or guidelines with respect to incentive-based compensation at covered financial institutions. In April 2011, the Agencies issued a joint proposed rulemaking that would implement this requirement. The public comment period for the proposed rulemaking expired on May 31, 2011. The Agencies are working to develop final rules or guidelines in light of the comments received from the public. It is not anticipated that the final rule guidelines, when issued, will have a significant economic impact on a substantial number of small entities subject to the Board's regulation
