Abstract: The Commission issued a concept release to identify potential regulatory responses to concerns raised regarding proxy voting and shareholder communications. The Division is considering recommending addressing particular issues raised in the concept release in separate proposing releases with distinct RIN numbers. The Division is also considering recommending that the Commission publish an interpretive release addressing issues related to proxy advisory firms, including the disclosure of conflicts of interest.
