TO HELP ENSURE THAT INVESTORS HAVE THE NECESSARY INFORMATION TO MAKE INFORMED SECURITY PURCHASES, THE SECURITIES ACT OF 1933 REQUIRES THE FILING OF A REGISTRATION STATEMENT MAKING PUBLICLY AVAILABLE INFORMATION REGARDING SUCH SECURITIES.
