RULE 12B-1 REQUIRES MOST REGISTERED OPEN-END MANAGEMENT INVESTMENT COMPANIES WHICH INTEND TO DISTRIBUTE THEIR OWN SECURITIES WITHOUT THE ASSISTANCE OF OF AN UNDERWRITER TO ADOPT A DISTRIBUTION PLAN AND TO PROVIDE THE DIRECTORS WITH QUARTERLY REPORTS OF EXPENDITURES PURSUANT TO THAT PLAN.
