Abstract:
FORM 8-A ELICITS MATERIAL INFORMATION CONCERNING SECURITIES TO BE REGISTERED ON NATIONAL SECURITIES EXCHANGES OR OTHER PUBLICLY-TRADED SECURITIES IN ORDER THAT INVESTORS MAY MAKE INFORMED AND KNOWLEDGEABLE INVESTMENT DECISIONS CONCERNING SUCH SECURITIES. THE COMMISSION IS PROPOSING TO AMEND THE FORM TO SIMPLIFY THE DISCLOSURE REQUIREMENTS OF THE FORM THROUGH CONSOLIDATION OF CERTAIN ITEMS AND INCORPORATION OF CERTAIN UNIFORM DISCLOSURE ITEMS.

On behalf of this Federal agency, I certify that the collection of information encompassed by this request complies with 5 CFR 1320.9 and the related provisions of 5 CFR 1320.8(b)(3).
The following is a summary of the topics, regarding the proposed collection of information, that the certification covers:
(a) It is necessary for the proper performance of agency functions;
