Abstract:
THE RULE IS NEEDED BY THE COMMISSION TO FULFILL ITS STATUTORY RESPONSIBILITY TO PRESCRIBE THOSE RULES AND REGULATIONS THAT ARE NECESSARY FOR THE PROTECTION OF INVESTORS BY REQUIRING AN ISSUER TO APPRISE ITS SHAREHOLDERS AND THE COMMISSION OF A CHANGE IN THE MAJORIT OF THE BOARD OF DIRECTORS OF THE COMPANY WHERE SUCH CHANGE IS EFFECTED OTHER THAN AT A MEETING OF SECURITY HOLDERS.

On behalf of this Federal agency, I certify that the collection of information encompassed by this request complies with 5 CFR 1320.9 and the related provisions of 5 CFR 1320.8(b)(3).
