THE NOTICE INDICATES INTENT TO AMEND TEMPORARY REGULATIONS TO CLARIFY THAT, DEPENDING ON THE CIRCUMSTANCES, CONVERTIBLE STOCK, FOR PURPOSES OF DETERMINING OWNERSHIP CHANGE UNDER SECTION 382, IS (I) STOCK ONLY (II) AN OPTION ONLY (NOT STOCK), OR (III) BOTH STOCK AND AN OPTIO DURING THE TRANSITION PERIOD, CONVERTIBLE STOCK IS STOCK ONLY UNLESS AN ELECTION IS MADE.
