RULE 12B-1 REQUIRES REGISTERED OPEN-END INVESTMENT COMPANIES THAT INTEND TO DISTRIBUTE THEIR OWN SECURITIES AND PAY EXPENSES OF DISTRIBUTION TO ADOPT A DISTRIBUTION PLAN, TO PROVIDE THE DIRECTORS WITH QUARTERLY REPORTS OF EXPENDITURES PURSUANT TO THAT PLAN, AND TO KEEP CERTAIN RECORDS.
