Short Statement:
As explained in further detail in Items 12 and 13 above, the final rules in Release No. 33-9176 implement the requirements of Section 945 of the Dodd-Frank Act. The changes in burden of Form S-1 relate to enhanced disclosure requirements in Regulation AB relating to asset-backed securities. These disclosure requirements implement Section 945 of the Dodd-Frank Act by requiring issuers to "disclose the nature of the review" performed by an issuer, as required under Section 945. The Commission's rules also implement Section 945 by requiring issuers to disclose certain information regarding the assets underlying asset-backed securities. The change in burden for Form S-1 corresponds to the new disclosure requirements. With respect to Form S-1 we estimate an annual increase of 30 burden hours and an increase of $36,000 in cost burden.
