Short Statement:
The amendments in Release No. 33-9245 remove references to credit ratings and replace them with alternate criteria. The increase in the burden associated with Form S-3 is the result of an estimate that certain issuers currently eligible to use Form S-1 would become eligible to use Form S-3. As a result, the number of respondents for Form S-3 is expected to increase. We estimate that the amendments would result in an annual time burden increase of 472 hours and an increase in the cost burden of $566,996 for services of outside professionals.

On behalf of this Federal agency, I certify that the collection of information encompassed by this request complies with 5 CFR 1320.9 and the related provisions of 5 CFR 1320.8(b)(3).
