Short Statement: In Release No. 33-9638, the Securities and Exchange Commission adopted amendments to several rules and form requirements under the Securities Act of 1933 and the Securities Exchange Act of 1934 relating to asset-backed securities. The new burden of Form SF-3 is necessary to distinguish offerings of asset-backed securities that are currently registered on Form S-3. Form SF-3 will result in 24,495 burden hours and a cost burden of $29,394,000 for services of outside professionals.
