Abstract:
Form S-11 (17 CFR 239.18) is a specialized form under the Securities Act of 1933 (“Securities Act”) used for registration of securities issued by real estate investment trusts (as defined in Section 856 of the Internal Revenue Code) or securities issued by issuers whose business is primarily that of acquiring and holding for investment real estate or interests in real estate or interests in other issuers whose business is primarily that of acquiring and holding real estate or interests in real estate for investment. The information to be collected is intended to ensure the adequacy of information available to investors about the issuer and the securities that may be offered pursuant to the registration statement.

Short Statement:
The proposed amendments are intended to facilitate capital formation in the public securities markets consistent with investor protection. The proposed amendments would, among other things, expand the number of issuers eligible to conduct shelf offerings on Form S-3, extend certain benefits currently reserved for WKSIs, modernize Form S-1 by expanding the ability to incorporate information by reference, preempt State securities law registration and qualification requirements for all registered offerings, and modernize certain forms and rules. For purposes of the PRA, the Commission estimates that, for Form S-11, the proposed amendments would result in a decrease of seven responses, a decrease of 1,282 burden hours, and decrease in the cost burden of $2,307,312.
